# Non-Disclosure Agreement (NDA) **Effective Date:** January 2024\ **Last Updated:** January 2024 ### 1. Definition of Confidential Information "Confidential Information" includes all information disclosed by Hustle 360 LTD ("Disclosing Party") to you ("Receiving Party") that is designated as confidential or that should reasonably be understood to be confidential. ### 2. Obligations of the Receiving Party The Receiving Party agrees to maintain the confidentiality of the Confidential Information and not to disclose it to any third party without the prior written consent of the Disclosing Party. ### 3. Duration of Confidentiality The obligations of confidentiality will continue for five (5) years from the date of disclosure. ### 4. Exceptions to Confidentiality Confidential Information does not include information that is publicly known, already known to the Receiving Party, independently developed by the Receiving Party, or required to be disclosed by law.
